Chieh-Pay USER AGREEMENT
Welcome to use Chieh-Pay!
Please be sure to read this agreement carefully! This Agreement is a contract between users (hereinafter referred to “you”) and CHIEH-PAY Limited (hereinafter referred to "Chieh-Pay" or "CHIEH-PAY" or "we") and any other affiliates. For purpose of this Agreement, "Affiliate" means an entity which is controlled by or under common control with CHIEH-PAY Limited, including but not limited to the affiliated companies set forth in Appendix A.
This agreement explains Chieh-Pay's guidelines for providing services and confirms the rights and obligations of users while using the services. When deciding whether to use our services, please be sure to read this agreement carefully and ensure that you understand the relevant terms and conditions. You are solely responsible for understanding and complying with any and all laws, rules and regulations relating to the use of Chieh-Pay Services in your jurisdiction.
We may make changes to this agreement from time to time. If we make changes, we will provide you with notice of such changes, such as by providing a notice on our website or updating the date at the top of this agreement. Unless we say otherwise in our notice, the amended agreement will be effective immediately, and your continued use of the services after we provide such notice will confirm your acceptance of the changes. If you do not agree to the terms and conditions of the amended agreement, you must stop using the services.
The Agreement is effective and legally binding on the date when customer creates an Chieh-Pay account, affirmatively accepts the Agreement in writing or electronically, or otherwise uses Chieh-Pay’s services (“Effective Date”). Subsequently, the Agreement shall be continued until it is terminated. Your acceptance of this Agreement serves as confirmation that you fully understand and accept these terms and conditions. If you do not understand any of these terms and conditions, please contact us and/or a legal advisor for more information.
Important Information
- You acknowledge that you and your use of Chieh-Pay services are subject to the mandatory provisions of applicable law. You solely are responsible for understanding and complying with any and all laws, rules and regulations of your home country, including, but not limited to, laws governing payment services including anti-money laundering or anti-terrorist financing requirements, consumer protection, data protection laws, anti-discrimination, gambling, false advertising, illegal sale or purchase or exchange of any goods or services, and those related to export/import activity, taxes or foreign currency exchange.
- Our obligations under this Agreement are conditional on our acceptance of you as a customer at our sole discretion.
- You understand that Chieh-Pay is only a platform which provides payment services. Our website does not participate in any of your transactions. Chieh-Pay is not a bank nor investment organization. Your account balance will not generate any interest nor income. Chieh-Pay does not have any control over the products or third parties that use Chieh-Pay services to make payments, so you should be cautious to judge the authenticity, legality and validity of the relevant monetary assets and / or information, and bear the responsibility and loss arising therefrom.
- Chieh-Pay will take reasonable steps to ensure the accuracy and timeliness of the information on the website, but it cannot guarantee that the information is completely accurate and up-to-date. Chieh-Pay does not make any commitment to the accuracy, completeness and authenticity of the information on the website, nor will it bear any loss caused directly or indirectly by the information on this website or by delays, failures and omissions in the event of failure to link to the Internet, transmit or receive any notices or messages. Chieh-Pay website and all information and materials in it are provided to you as it is, without any other expressions or implications.
- There are also risks associated with trading systems by using the Internet, including but not limited to software, hardware and Internet link failures. Since Chieh-Pay cannot control the reliability and availability of the Internet, Chieh-Pay will not bear any responsibility for distortion, delays and link failures.
- We may close, suspend or limit your access to your use of the Chieh-Pay services if you violate this Agreement or any other agreement you enter into with Chieh-Pay or pursuant to any proprietary monitoring used by Chieh-Pay when assessing the risk associated with your transaction activity. We may limit your access to funds per the instructions of law enforcement or our regulators.
- Protecting your privacy is very important to us. Please review our Privacy policyin order to better understand our commitment to maintaining your privacy, as well as our and disclosure of your information.
1. Your Chieh-Pay account
1.1 Account Registration
- You may only access the services if you have a registered account on our platform, only companies located outside of mainland China are eligible to apply for an account.
- To register for an account, you or the person submitting the application (your “Representative”) must provide us with certain information and documentation that we require, including for purposes of verifying your identity and compliance with know-your-customer and sanctions. You agree to cooperate and provide complete, accurate, and timely information as requested by Chieh-Pay in connection with such verification process. You agree that Chieh-Pay may utilize vendors for background inquiries as we deem appropriate from time to time, during or after such verification process.
1.2 Eligibility
By accessing or using our services, you represent and warrant that you are order than 18 year old. Due to account security and risk tolerance, we do not provide services to users over 70 years old. You also represent and warrant that you have not previously been suspended or removed from the website or services and make sure that the laws of your jurisdiction allow you to engage in related transactions.
1.3 Account Access and Security
- You must be the actual beneficiary of the account. You enjoy the actual benefits and rights of the account. You take full responsibility of your transactions and you should act on behalf of yourself only. You are expressly prohibited from sending or receiving funds on behalf of or for the benefit of any third party. You will need to use the login credentials that you select during the registration process to access your account.
- You and your Representative will take all reasonable steps to keep your Chieh-Pay account secure at all times and shall be solely responsible for any failure to secure your Chieh-Pay account. We may offer optional enhanced security features for your account, including, for example, two-factor authentication. If you enable such enhanced security features, it is your responsibility to ensure the security of, and your continuous control over, any device or account that may be associated with the enhanced security features. You agree and understand that: (i) your disclosure of login information to third parties may allow unauthorised access to your account; (ii) we cannot be held liable for unauthorised access or other loss resulting from your disclosure or other transmission, whether intentional or inadvertent, of your login information to third parties; (iii) you are solely responsible (and you will not hold us responsible) for managing and maintaining the security of your account login credentials and any other required forms of authentication; (iv) we are not responsible (and you will not hold us responsible) for any unauthorised access to or use of your account; and (v) you are responsible for monitoring your account. We may suspend your account or otherwise restrict its functionality (including access to funds), in our sole and absolute discretion, to safeguard the security of your account if we suspect that an unauthorised or fraudulent use of your account has occurred or that any security features have been compromised.
1.4 Validation of Account Information
At any time during the term of this Agreement and your use of the services, Chieh-Pay may request updated or additional information and documentation to continue using the services, including information associated with your transactions, payees and payors. In addition, you must promptly update your account with any changes affecting you, the nature of your business activities, your Representatives, beneficial owners, principals, or any other pertinent information. Your failure to provide this information or documentation to us may result in suspension or termination of your Account. You agree to provide us with all information and documentation that we request in connection with your account and use of the services. We will have no liability to you in connection with any permanent or temporary inability to access or use the Services, including your inability to withdraw or execute transactions, as a result of any identity verification or other screening procedures.
1.5 Use of your Chieh-Pay Account
You must use the services that Chieh-Pay provided in compliance with all applicable laws, rules and regulations, and you may not use the Services to enable any person (including you) to benefit from any of the restricted goods, products, businesses and/or activities set out in Appendix B.
1.6 You agree that in connection with your use of Chieh-Pay services, you will not:
- breach this Agreement, Privacy Policies and any other agreements that apply to you;
- violate any applicable law and any laws or regulations of the country where you manufacture, purchase, store or sell your products or provide services;
- engaged in unlawful businesses or activities;
- infringe or misappropriate the intellectual property rights or rights of publicity or privacy of Chieh-Pay or any third party.
- sell counterfeit goods;
- provide false, inaccurate or misleading information;
- refuse to cooperation in an investigation or provide confirmation of your identity or any information you provide us; or
- send or receive funds that Chieh-Pay reasonably believes to be potentially involve in money laundering, terrorist financing or other illegal activities.
If Chieh-Pay believes that you have engaged in any of the above restricted use, in our sole discretion, we may freeze the balance held in your account, suspend or terminate your Chieh-Pay account, or refuse to provide you any Chieh-Pay services in the future.
You shall bear all losses of Chieh-Pay, other Chieh-Pay customer/merchant or third parties caused by your unauthorized or illegal use of Chieh-Pay services in violation of this Agreement. You understand and agree to indemnify Chieh-Pay, Chieh-Pay customer/merchant or third parties for any such losses.
1.7 Any instructions sent by you in connection with your account will be irrevocable once made.
2. Services of Chieh-Pay
2.1 Money Transfers
- Internal Transfer. Once your Chieh-Pay account balance is positive, you may transfer the account balance to an Chieh-Pay account of other Chieh-Pay customer/merchant.
- You can deposit money into your Chieh-Pay account by E-money platform (including Perfect Money, Fasapay, Payeer and AdvCash) and wire transfer. Any costs and expenses thus incurred shall be borne by you, as applicable.
- The time it takes for depositing money to reach your Chieh-Pay account is not in Chieh-Pay’s control. Money are typically received within one (1) to three (3) business days but may take up to five (5) business days or longer. If the money is not received within five (5) business days from the payment instruction of the relevant platform, we will initiate an internal investigation on your behalf at your request. You shall directly resolve any issues or disputes associated with platforms and their policies with the platform. Chieh-Pay is under no obligation to resolve such issues or disputes for you.
2.2 Withdrawal
- After the completion of a pay-in transaction or your Chieh-Pay account balance is positive, you may submit a settlement order to instruct Chieh-Pay to transfer part or all of the Chieh-Pay balance to your designated bank account or E-wallet account (“Beneficiary Account”).
- With respect to withdrawal:
- You must ensure that your Beneficiary Account information is correct and accurate. We cannot be held responsible for funds being sent to the wrong bank account or E-wallet account as a result of you providing incorrect Beneficiary Account information. In the event that the payment is rejected due to inaccurate Beneficiary Account information provided by you, you are responsible for relevant fees and Chieh-Pay may directly deduct such fees from your Chieh-Pay account balance. In case of any incorrect or misdirected payment, we will take reasonable measures to assist you with tracing and, if reasonably feasible, recovering such payments, but we shall not be liable for any payments that cannot be recovered.
- You must ensure that your Beneficiary Account is in good standing and able to receive funds. If your Beneficiary Account bank or E-wallet organization reject settlement from Chieh-Pay, funds will be held with Chieh-Pay until a valid Beneficiary Account is provided.
- After receiving a settlement order, Chieh-Pay will initiate a settlement transaction in the amount and currency you selected. Chieh-Pay will debit the amount of transfer and service fees from your Chieh-Pay account immediately.
- Chieh-Pay reserves the right to offset from any settlement to you any amounts owned to Chieh-Pay by you, including but not limited to, all service fees payable under this Agreement.
- Settlement orders received by Chieh-Pay will be processed within 1-3 business days at the currency exchange rate as shown at Chieh-Pay’s website when the settlement order is submitted. You acknowledge and agree that your withdrawal instruction is irrevocable after it is made.
2.3 Currency Conversion
We provide foreign currency conversion service, you may use to convert any supported currency maintained in your Chieh-Pay account into another supported currency. When you initiate a currency conversion transaction, we will provide you with a conversion rate that shown at our website in real time.
2.4 Receiving Payments
- As part of the Services, you may accept payments from payers acknowledged and approved by Chieh-Pay for the purposes permitted under the Chieh-Pay services, in supported currencies directly into your Chieh-Pay account. When a payer makes a payment to your Chieh-Pay account, your account balance will be updated, and the transaction will be annexed to your transaction history. You may not accept payments from payer directly into an external bank account or E-wallet account through the services. Inbound payments that are not approved by Chieh-Pay may be rejected. Any costs and expenses associated with rejected payments shall be borne by you, as applicable. You represent that the acceptance of payments through the Chieh-Pay services does not breach this Agreement.
- You acknowledge you and the payer shall cooperate with Chieh-Pay to verify the identity and source of funds.
2.5 Remittance
- You may use the services to make a payment from your Chieh-Pay account to the external bank account or E-wallet account of a payee located in a supported jurisdiction. When you make your payment, you will be required to select a receiving currency from a list of supported receiving currencies. Additionally, you will be required to provide certain information about the payee to allow us to verify the payee’s identity and facilitate the transfer of funds to the payee’s external bank account or E-wallet account.
- At our sole discretion, if you are entitled to a refund due to a failure of sending your payment, we will transfer the refund amount to your Chieh-Pay account accordingly. We reserve the right to refund to you either the exact amount of supported currency that you paid or an amount of another currency that is equivalent to the amount of supported currency paid at the time of payment, in our sole and absolute discretion, taking into consideration operational efficiency. YOU ARE NOT ENTITLED TO RECEIVE ANY APPRECIATION ON THE VALUE OF THE SUPPORTED CURRENCY THAT YOU USED FOR PAYMENT IN CONNECTION WITH A REFUND AND YOU WILL BEAR ANY COST AND EXPENSES CHARGED AS A RESULT OF THE REFUND SUCH AS BANK PROCESSING FEE AND INTERMEDIARY BANK FEE, IF ANY.
3. The Adjustment of Account balance
In general, any adjustments we make to your Chieh-Pay account required your consent or made under your instructions. However, the following situations are exemptions:
- If you are in default on the funds of Chieh-Pay, Chieh-Pay has the right to deduct the money from your account for any fund you defaulted.
- If the balance of your account is not enough for your processing transaction, Chieh-Pay has the right to deduct the money you deposit or receive later for compensating the debt.
- If you have more than one type of currency in your account, and one of the currencies become negative due to some reasons, Chieh-Pay has the right to use another type of currency in your account to compensate the debt.
- If your account has other linked accounts, Chieh-Pay has the right to use any balances held in other linked accounts to offset the outstanding balance in your account.
- We will correct any errors we find. If the error causes you to receive money less than the correct amount, Chieh-Pay will make up the difference for your account. If the error causes you to receive money more than you deserve, Chieh-Pay will deduct excess funds from your account.
- Fees
- Chieh-Pay will provide the services to you at the rates and for the fees (“Fees”) described on our website at your account dashboard. We may revise the Fees at any time, but we will provide you with advance notice before revisions become applicable to you (or a longer period of notice if this is required by applicable law). The Fees are exclusive of any applicable taxes.
- Your use of services may result in the accrual of fees and service charges imposed by intermediary banks that facilitate transfers of funds between banks and receiving banks that accept funds for your benefit. You are responsible for any fees charged by the intermediary bank or the receiving bank when you use the services.
- You are responsible for any penalties or fines imposed on you or us in relation to your account resulting from your use of the services.
- You are responsible for determining whether taxes (including any sales, products and services, excise, import, export, value added, consumption or other taxes), fees and/or duties apply to the transactions associated with your use of the services and/or any sale of products or services made available via the services and to collect, report, and remit the correct taxes, fees and/or duties to the appropriate tax authorities. If you are tax exempt, you will provide us with an appropriate certificate or other evidence of tax exemption that is satisfactory to us. In the event you use the services to make payments or payouts to any third party, you agree that you are responsible for determining what taxes, if any, apply to those payments or payouts, and for assessing, collecting, reporting, and remitting applicable taxes as required by applicable law in all relevant jurisdictions. You agree that we are not responsible for assessing, collecting, reporting, or remitting any taxes on your behalf and to indemnify and hold Chieh-Pay harmless from and against any claim arising out of or related to your failure to comply with this requirement. You acknowledge and agree that we may send documents to you and tax authorities in connection with your account and transactions processed using the services.
- We may refund to you due to failure of carry out adding funds, withdrawal and payout instructions, taking in consideration of the funds and Chieh-Pay accounts safety. If applicable, we may debit Service Fees.

5. Term and Termination
- This Agreement is effective upon the date you apply for an account and continues until terminated by you or Chieh-Pay.
- You may terminate this Agreement by closing your account.
- We may terminate this Agreement and your account or suspend your account at any time for any reason by providing written notice to you. We may close your account and terminate this Agreement without notice to you, if: (i) we determine, in our sole and absolute discretion, that you are ineligible for the services because of significant fraud or credit risk, or any other risks associated with your account; (ii) you use the services in a prohibited manner, including, without limitation, to engage in money laundering, terrorism financing or other illegal activity, or otherwise do not comply with any of the provisions of this Agreement; (iii) applicable law requires us to do so; (iv) we are otherwise entitled to do so under this Agreement.
- Effect of Termination. Termination does not immediately relieve you of obligations incurred by you under this Agreement, including to pay any Service Fees payable to us. Upon termination, you agree to: (i) complete all pending transactions involving your account; (ii) stop accepting new transactions under your account; (iii) and cease using the services. Your continued or renewed use of the services will renew your consent to the terms of this Agreement. Before termination, you shall withdraw remaining funds.
6. Dispute Solutions
- With all disputes between you and Chieh-Pay must be resolved by binding arbitration and not in a court of general jurisdiction.
- For any Dispute that you have against Chieh-Pay, you agree to first contact Chieh-Pay and attempt to resolve the claim informally by sending a written notice (“Notice”) . The Notice must (i) include your name, mailing address, email address, and telephone number; (ii) describe the nature and basis of the Dispute; and (iii) set forth the specific relief sought. Any notice by Chieh-Pay to you will be similar in form to that described above. If you and Chieh-Pay cannot reach an agreement to resolve the Dispute within sixty (60) days after receiving such Notice, either party may submit the Dispute to binding arbitration as provided herein.
- Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Canada administered by the Canada International Arbitration Centre in accordance with the Arbitration Rules of the Canada International Arbitration Centre for the time being in force, which rules are deemed to be incorporated by reference in this clause. The Tribunal shall consist of one (1) arbitrator. The language of the arbitration shall be English.
- The interpretation and enforcement of this Agreement, and any dispute related to this Agreement or the services, will be governed by and construed and enforced in accordance with the laws of Canada, without regard to conflict of law rules or principles (whether of Canada or any other jurisdiction) that would cause the application of the laws of any other jurisdiction.
7. Disclaimer and Limitation of Liabilities
- WE PROVIDE THE SERVICES "AS-IS," "WITH ALL FAULTS," AND "AS AVAILABLE." YOU BEAR THE RISK OF USING THE SERVICES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, Chieh-Pay EXCLUDES ANY IMPLIED WARRANTIES, CONDITIONS, OR TERMS, INCLUDING THOSE OF PRODUCT LIABILITY, SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, USE OF REASONABLE SKILL AND CARE, AND NON-INFRINGEMENT, RELATING TO THE SERVICES. WITHOUT LIMITING THE FOREGOING, Chieh-Pay EXPRESSLY DISCLAIMS ANY WARRANTIES THAT ACCESS TO, OR USE OF, THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE.
- In no event will Chieh-Pay, or its payment service provider, be liable with respect to any subject matter of this Agreement under any contract, negligence, strict liability or other legal or equitable theory for: (a) any special, incidental or consequential damages; (b) the interruption of use or loss or corruption of date; or (c) for any amounts that exceed the fees paid by you to Chieh-Pay under this Agreement during the twelve (12) month period prior to the cause of action. Chieh-Pay shall have no liability for any failure or delay due to matters beyond its reasonable control.
- We will not be liable to you for any loss that you incur as a result of us acting on payment instructions that you authorized prior to termination of any services.
- Without limiting, and in addition to, any other obligation that you may owe under this Agreement, you are at all times responsible for the acts and omissions of your employees, contractors and agents, to the extent such persons are acting within the scope of their relationship with you. You agree to defend, indemnify and hold harmless Chieh-Pay and its affiliates, subsidiaries, officers, agents and/or employees from and against (including by paying any costs, losses, damages or expenses and legal fees) any and all third party claims: (i) relating to or arising from your breach of this Agreement or applicable law (including fines and penalties); (ii) alleging that any products or services you make available infringe on any proprietary or personal rights of a third party; (iii) alleging damage or loss caused by negligence, fraud, dishonesty, or willful behavior by you or any of your employees, agents or other representatives; (iv) relating to the use of or inability to use any products or services sold by you, including any product liability claims; or (v) by any tax authority based on any nonpayment or underpayment of any sales, use, products and services, value added or other similar tax, including any associated penalties and interest, which you are obligated to pay. Chieh-Pay will: (i) notify you promptly in writing of the claim; provided, however, Chieh-Pay’s failure to notify you shall not relieve you of any liability that you may have, except to the extent that such failure materially prejudices your legal rights; and, (ii) at your reasonable request, provide you with reasonable assistance in defending the claim. You will reimburse Chieh-Pay or its affiliates for any reasonable out-of-pocket expenses incurred in providing that assistance. You will not make any settlement or compromise of a claim, or admit or stipulate any fault or liability on Chieh-Pay or its affiliates with respect to any claim covered by this section without such party’s express, prior written consent.
- We shall not be liable for any disputes between you and any other Chieh-Pay customer/merchant for any underlying sales transactions occurring on the Chieh-Pay platform. It is your responsibility to ensure that you only make payments or to receive payments from persons or entities related to commercial transactions in compliance with your applicable legal obligations. Chieh-Pay has no influence on the underlying process of buying or selling goods, and no legal relationship with the counter-party of your transaction. You shall indemnify and hold Chieh-Pay and its affiliates (and their officers, directors, representatives, employees) harmless from any claim by any of them against Chieh-Pay. If you are in doubt as to the legality of a transaction you should not continue with your payment.
- Neither party shall be held liable or considered to have failed under these rules in case of late or non-performance when their cause is related to a force majeure situation as defined by the law of Canada.
8. Confidentiality
During the term of this Agreement and for five (5) years thereafter, the recipient of Confidential Information (as defined below) under this Agreement will hold in confidence, and will not use or disclose any of the other party's Confidential Information to a third party, except (i) to contractors who are performing on the receiving party's behalf and only subject to confidentiality terms at least as protective as this section; or (ii) as may be required by applicable law or any regulatory authority. “Confidential Information” means all information that a party designates as confidential, or a reasonable person knows or reasonably should understand to be confidential. Confidential Information does not include information that is or becomes known to the receiving party without a breach of this Agreement or any other confidentiality obligation owed to a disclosing party. If you have any questions as to what comprises Confidential Information, you will consult with Chieh-Pay. This section does not prohibit either party from responding to lawful requests from law enforcement authorities.
9. Prevention of Money Laundering and Terrorist Financing
Chieh-Pay is subject to applicable law regarding the fight against money laundering and the terrorist financing. As a result, Chieh-Pay reserves the right to obtain information from you, including, but not limited to, information about your identity, business transactions, business relationships, and/or financial information. In addition, Chieh-Pay must take all the steps necessary to identify you and, where appropriate, the beneficial owner of the Chieh-Pay account and/or any receiving payments linked to the Chieh-Pay account. You acknowledge that Chieh-Pay may terminate or postpone, at any time, the use of login details, access to an account or execution of a transaction in the absence of any sufficient information about its purpose or nature.
10. Severability
If any provision of the Agreement shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
11. Notice
You consent to receive electronically all communications, agreements, documents, receipts, notices, and disclosures (collectively, “Communications”) that Chieh-Pay provides in connection with this Agreement, your account or the services. You agree that Chieh-Pay may provide these Communications to you by posting them via the services, by emailing them to you at the email address you provide, sending them using an app or other messaging service to your account on the app or messaging service, and/or by sending an SMS or text message to a mobile phone number that you provide. Your carrier's normal, messaging, data, and other rates and fees may apply to any mobile Communications. You should maintain copies of electronic Communications by printing a paper copy or saving an electronic copy. You may also contact us to request additional electronic copies of Communications.
